This permanent position offers a unique opportunity to enhance your career in a supportive and dynamic environment.<\/p>\n<p class=\"isSelectedEnd\">This is a hands-on role within a small, professional Finance team, suited to an experienced AP\/ Finance Operations professional who is comfortable working in a <strong>high-value, low-volume environment<\/strong>. The role has a strong focus on <strong>payment controls, cash management, reconciliations, month-end close and maintaining accurate, audit-ready financial records.<\/strong><\/p>\n<p>The successful candidate will take ownership of day-to-day AP and cash activities, manage <strong>high-value transactions<\/strong> with a high degree of accuracy and control, and work closely with Finance colleagues and Group Finance teams across international locations.<\/p>\n<p> <strong>Key Responsibilities<\/strong> <\/p>\n<h3>Accounts Payable &amp; Payments<\/h3>\n<ul data-spread=\"false\">\n<li>Own the end-to-end AP process for a <strong>low-volume, high-value invoice portfolio<\/strong>, including invoice receipt, validation, coding, posting and approval.<\/li>\n<li>Process high-value payments to vendors, clients and group entities through ERP and banking platforms.<\/li>\n<li>Ensure appropriate payment controls, approvals and supporting documentation are in place.<\/li>\n<li>Review invoices and payment requests for accuracy, completeness and compliance with internal controls.<\/li>\n<li>Resolve AP and payment queries efficiently with internal stakeholders and external parties.<\/li>\n<li>Maintain accurate, complete and audit-ready AP records.<\/li>\n<\/ul>\n<h3>Cash Management<\/h3>\n<ul data-spread=\"false\">\n<li>Monitor daily cash balances and movements.<\/li>\n<li>Support payment runs, ad-hoc payments and international transactions.<\/li>\n<li>Coordinate with Group Finance and relevant internal stakeholders on cash requirements.<\/li>\n<li>Ensure cash activity is accurately recorded, reconciled and supported by appropriate documentation.<\/li>\n<\/ul>\n<h3>Reconciliations &amp; You&#8217;ll also partner closely with Actuarial, Underwriting, Finance, Operations and Sales as the ASO portfolio grows.<\/p>\n<h3>Requirements<\/h3>\n<ul data-spread=\"false\">\n<li>ASA or FSA credentialed Actuary would be preferred although experienced stop-loss underwriters will also be considered<\/li>\n<li>Employer medical stop-loss experience<\/li>\n<li>Strong knowledge of <strong>specific and aggregate coverage<\/strong>.<\/li>\n<li>Hands-on stop-loss pricing or underwriting experience.<\/li>\n<li>Experience reviewing and improving pricing models, assumptions and Structuring<\/h3>\n<ul>\n<li>Lead and coordinate legal aspects relating to the establishment, operation and governance of UK, US, Cayman and Luxembourg private equity fund structures.<\/li>\n<li>Partner closely with investment, product and investor relations teams on fund structuring and strategic product initiatives.<\/li>\n<li>Support the launch of new secondaries funds and bespoke separate managed account structures.<\/li>\n<li>Manage external counsel and oversee the preparation and negotiation of fund documentation, including limited partnership agreements, PPM, subscription agreements and related materials.<\/li>\n<\/ul>\n<h3>Transaction Execution<\/h3>\n<ul>\n<li>Act as lead legal adviser on acquisitions and disposals of primary and secondary fund interests, including both single-asset and portfolio transactions.<\/li>\n<li>Advise on transaction structuring, tax and regulatory considerations.<\/li>\n<li>Negotiate and execute purchase and sale agreements, transfer documentation, side letters and related transaction documents.<\/li>\n<li>Coordinate transaction closings and stakeholder management across multiple jurisdictions.<\/li>\n<li>Lead legal work-streams relating to NAV facilities and subscription credit facilities.<\/li>\n<\/ul>\n<h3>Portfolio &amp; Fund Operations<\/h3>\n<ul>\n<li>Attend Investment Committee meetings and provide strategic legal input on proposed transactions.<\/li>\n<li>Oversee MFN election processes and investor consent matters.<\/li>\n<li>Support advisory board interactions and underlying fund manager communications.<\/li>\n<li>Assist with contentious matters and dispute resolution as required.<\/li>\n<\/ul>\n<h3>Legal &amp; Regulatory<\/h3>\n<ul>\n<li>Partner with Compliance to enhance governance frameworks, policies and controls.<\/li>\n<li>Provide practical legal advice on fund operations, regulatory developments and private equity investment matters.<\/li>\n<li>Build and maintain strong relationships with external law firms and service providers.<\/li>\n<li>Support broader legal team initiatives and collaborate closely with senior legal leadership.<\/li>\n<\/ul>\n<h2>Candidate Profile<\/h2>\n<p>We are seeking a commercially minded lawyer who enjoys operating at the intersection of complex transactions, fund structuring and business strategy.<\/p>\n<p> <\/p>\n<h3>Experience &amp; Qualifications<\/h3>\n<ul>\n<li>Qualified lawyer in the UK or US.<\/li>\n<li>Minimum 6 year&#8217;s post-qualification experience gained within a leading private funds practice and\/or a sophisticated in-house investment management environment.<\/li>\n<li>Extensive experience advising on private equity fund structures and fund formation matters.<\/li>\n<li>Strong track record supporting secondaries transactions, including acquisitions and disposals of LP interests.<\/li>\n<li>Experience across UK and US fund structures; sophisticated, internationally focused legal function supporting the full lifecycle of private investment funds, from product development and structuring through fundraising, investor on-boarding and ongoing fund management.<\/p>\n<p> Working closely with investment professionals, investor relations, tax, compliance and external counsel, you&#8217;ll play a key role in delivering complex cross-border fund launches while acting as a trusted commercial adviser to the business.<\/p>\n<h2>Key Responsibilities<\/h2>\n<ul>\n<li>Advise on fund structuring and product development for new investment vehicles.<\/li>\n<li>Lead legal aspects of fund formation, fundraising and investor on-boarding.<\/li>\n<li>Draft, review and negotiate fund documentation, including LPAs, PPMs, subscription agreements and side letters.<\/li>\n<li>Coordinate fund launches across multiple jurisdictions.<\/li>\n<li>Advise on regulatory developments affecting private funds.<\/li>\n<li>Work closely with senior internal stakeholders and manage external legal advisers.<\/li>\n<li>Provide ongoing legal support across existing fund platforms.<\/li>\n<\/ul>\n<h2>About You<\/h2>\n<p>You&#8217;ll be a qualified lawyer with approximately 4-6 year&#8217;s PQE gained either within a leading international law firm or an established investment manager.<\/p>\n<p> You&#8217;ll have strong experience advising on private investment funds, ideally within one or more of the following areas:<\/p>\n<ul>\n<li>Private Equity<\/li>\n<li>Private Credit<\/li>\n<li>Real Estate Funds<\/li>\n<\/ul>\n<p>You will also demonstrate:<\/p>\n<ul>\n<li>Strong technical knowledge of fund structuring and fundraising.<\/li>\n<li>Excellent drafting and negotiation skills.<\/li>\n<li>Commercial judgement and stakeholder management experience.<\/li>\n<li>The ability to manage multiple complex projects simultaneously.<\/li>\n<li>A collaborative approach and desire
