A globally recognized alternative asset manager with a scaled private credit platform and a dedicated investment grade structured credit strategy. The firm manages capital on behalf of insurance companies, pension funds, and other long-duration institutional investors, with a strong emphasis on credit quality, regulatory alignment, and capital efficiency.<\/p>\n

\n

The firm is seeking a Director to join its Asset-Based Finance team within the investment grade private credit platform. This is an execution-focused role – the team sources opportunities through established originator and counterparty relationships, and this individual will own structuring, underwriting, and ongoing portfolio management across a broad set of asset types and industries.<\/p>\n

\n

Responsibilities<\/span><\/p>\n

    \n
  • Lead due diligence and credit underwriting for private structured credit transactions across consumer and commercial ABF, mortgage, CRE, fund finance, CLOs, ABS, and esoteric asset classes<\/span><\/li>\n
  • Build and review cash flow models and structured finance analytics; conduct relative value analysis across structures and asset classes<\/span><\/li>\n
  • Review and negotiate legal documentation and deal structures<\/span><\/li>\n
  • Prepare investment committee memos and present recommendations to senior leadership<\/span><\/li>\n
  • Oversee portfolio monitoring, covenant compliance, and risk management for existing positions<\/span><\/li>\n
  • Ensure investments align with credit policy, regulatory capital requirements, and ALM objectives<\/span><\/li>\n
  • Partner cross-functionally with credit, legal, risk, and capital management teams to develop and execute financing solutions<\/span><\/li>\n
  • Maintain and grow relationships with external counterparties to support deal execution<\/span><\/li>\n<\/ul>\n

    \n

    Candidate Profile<\/span><\/p>\n

      \n
    • 8+ years in asset-backed finance, structured credit, or private credit, with a strong execution and structuring focus<\/span><\/li>\n
    • Demonstrated experience structuring private ABF investments for insurance general accounts or other long-duration capital<\/span><\/li>\n
    • Deep expertise in cash flow modeling, structured finance analytics, and credit documentation<\/span><\/li>\n
    • Solid understanding of insurance regulatory capital, ratings considerations, and ALM principles<\/span><\/li>\n
    • Experience at an insurance-owned asset manager, insurer investment team, or structured credit platform preferred<\/span><\/li>\n
    • Familiarity with both rated and unrated private ABF structures<\/span><\/li>\n
    • Bachelor’s in Finance, Economics, Engineering, or quantitative field; MBA and\/or CFA a plus<\/span><\/li>\n<\/ul>\n<\/div>\n<\/div>\n<\/div>\n

The firm advises insurance companies, financial sponsors, and reinsurers on mergers, acquisitions, divestitures, and strategic alternatives across the full insurance landscape including life, annuity, P&C, and specialty lines.<\/p>\n<p><strong><span style=\"text-decoration: underline\">The Role<\/span><\/strong><\/p>\n<p>The Associate will sit at the center of live transaction execution, working directly with senior bankers on mandate delivery and client interaction. This is not a rotational or generalist role. You will be embedded in a focused vertical with real deal flow and direct exposure to senior coverage bankers from day one.<\/p>\n<p>Responsibilities include financial modeling and valuation across M&A and strategic review processes, preparation of client-facing materials, management of due diligence workstreams, and coordination with legal, actuarial, and regulatory advisors on active transactions.<\/p>\n<p><strong>Background<\/strong><\/p>\n<ul>\n<li>2 to 4 years of experience in investment banking, corporate development, or strategic finance with meaningful M&A transaction exposure<\/li>\n<li>Candidates coming from FIG or insurance coverage groups at bulge brackets or boutiques are strongly positioned, as are those coming from corp dev or strategy functions at insurance holding companies, carriers, or reinsurers who have been active on the deal side<\/li>\n<li>Strong technical foundation in M&A modeling and valuation, whether built in banking or through hands-on transaction work in a corporate setting<\/li>\n<li>Familiarity with insurance company financials and the nuances of valuing life, annuity, or P&C businesses is a strong differentiator<\/li>\n<li>Undergraduate degree from a target institution; MBA or CFA not required but viewed positively<\/li>\n<\/ul>\n<p><strong>Why This Opportunity<\/strong><\/p>\n<p>The team has active mandates and is growing. The firm advises on a broad range of transactions including mergers, acquisitions, divestitures, and strategic alternatives across the insurance sector, with a particular focus on life, annuity, P&C, and specialty carriers.<\/p>\n<p><strong>The Role<\/strong><\/p>\n<p>The MD will be responsible for originating and executing M&A and strategic advisory mandates across the insurance vertical. This is a senior client-facing role with full P&L ownership expectations and direct reporting to firm leadership. The right candidate will bring an established network across insurance company C-suites, private equity sponsors active in financial services, and reinsurance counterparties.<\/p>\n<p>Day to day you will be originating new mandates, managing senior client relationships, and leading deal teams on live transactions. You will also work closely with capital markets, private credit, and restructuring colleagues where insurance sector expertise is relevant.<\/p>\n<p><strong>Background<\/strong><\/p>\n<ul>\n<li>12+ years of investment banking experience with a meaningful portion spent advising insurance companies or financial sponsors on insurance-focused transactions<\/li>\n<li>Demonstrated track record of origination and mandate wins at the MD or Director level<\/li>\n<li>Deep familiarity with insurance company balance sheets, regulatory capital frameworks (RBC, Solvency II), and the role of reinsurance in M&A structuring<\/li>\n<li>Experience advising on transactions involving life\/annuity blocks, run-off portfolios, MGAs, or specialty carriers is a strong plus<\/li>\n<li>Existing relationships with decision makers at insurance holding companies, PE firms with insurance platforms, or reinsurers<\/li>\n<\/ul>\n<p><strong>Why This Opportunity<\/strong><\/p>\n<p>The firm has seen significant deal flow growth in the insurance vertical over the past several years and is investing in senior coverage capacity to meet demand. The insurance business offers annuity, protection, and reinsurance products managed by a dedicated subsidiary, and demand for residential asset based finance product across the insurance balance sheet and the firm’s managed funds has grown materially in recent years, creating the need for additional execution capacity at the Associate level to support a growing flow of residential transactions.<\/p>\n<p><strong>What You’ll Do<\/strong><\/p>\n<p>This is an execution focused investing role within the residential ABF effort, supporting the structuring, underwriting, and ongoing portfolio management of residential whole loan and securitized transactions across the insurance balance sheet and the firm’s managed credit and ABF funds. The Associate will work closely with senior investment professionals on a steady pipeline of residential transactions and will take ownership of the modeling, diligence, and structuring analytics that sit behind each deal, alongside ongoing surveillance of the existing residential portfolio. Asset class coverage includes non-QM, jumbo prime, residential transition loans, second lien and HELOC, single family rental, mortgage servicing rights, reverse mortgages, and agency and non-agency RMBS, with selective exposure to the broader ABF universe.<\/p>\n<p><strong>Core Responsibilities<\/strong><\/p>\n<ol>\n<li><strong>Deal Execution and Modeling<\/strong>\n<ul>\n<li>Build and maintain detailed cash flow models for residential whole loan portfolios and securitized transactions, including collateral level analysis, loss and prepayment assumptions, and structured note waterfalls; support senior team members through underwriting, structuring, and closing.<\/li>\n<\/ul>\n<\/li>\n<li><strong>Structuring Support<\/strong>\n<ul>\n<li>Contribute to the structuring of rated note feeders, private securitizations, warehouse facilities, and other capital efficient formats used to place residential collateral into the insurance balance sheet and the firm’s managed fund vehicles; coordinate with internal structuring, legal, accounting, and ratings advisor counterparts through execution.<\/li>\n<\/ul>\n<\/li>\n<li><strong>Diligence and Investment Materials<\/strong>\n<ul>\n<li>Lead collateral and counterparty diligence on residential whole loan portfolios and forward flow programs; author internal investment memos with clear conclusions and recommendations for senior investment committees and insurance stakeholders.<\/li>\n<\/ul>\n<\/li>\n<li><strong>Market Coverage<\/strong>\n<ul>\n<li>Maintain ongoing coverage of residential whole loan and securitized markets including agency and non-agency RMBS, non-QM, residential transition, HELOC and second lien, single family rental, MSR, and reverse mortgage; track dealer research and pricing trends; develop a working view on relative value across sub sectors.<\/li>\n<\/ul>\n<\/li>\n<li><strong>Portfolio Management Support<\/strong>\n<ul>\n<li>Monitor existing residential holdings across vehicles for emerging risk or opportunity; produce regular surveillance and performance reporting; support the design and execution of rotation trades alongside senior investment colleagues.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p><strong>What We’re Looking For<\/strong><\/p>\n<ul>\n<li>Undergraduate degree in finance, economics, or a quantitative discipline<\/li>\n<li>Two to four years of experience in investment banking, asset management, or insurance investing, with hands on exposure to residential whole loan or RMBS transactions<\/li>\n<li>Direct experience working with residential whole loans is required, including involvement in diligence, modeling, structuring, or trading of whole loan portfolios at an originator, aggregator, asset manager, insurance investor, or sell side desk<\/li>\n<li>Strong financial modeling and analytical skills, including cash flow modeling of residential collateral, loss and prepayment analysis, and structured note waterfalls<\/li>\n<li>Familiarity with the rated note feeder, private securitization, and warehouse formats commonly used to place residential collateral into institutional balance sheets and fund vehicles<\/li>\n<li>Awareness of the regulatory, capital, and accounting frameworks that shape residential ABF investing on an insurance balance sheet, including NAIC and rating agency treatment of rated note and private securitization structures<\/li>\n<li>Clear written and verbal communication, with the ability to produce investment memos and deal materials for senior audiences<\/li>\n<li>Entrepreneurial mindset and willingness to take ownership of work streams in a fast moving environment<\/li>\n<li>Familiarity with insurance specific accounting, capital, and investment constraints is a plus<\/li>\n<\/ul>\n<p><img decoding=\"async\" src=\"https:\/\/counter.adcourier.com\/QmlhbmNhLk1lbGVuZGV6LjQ2MDQ5LjExMzA5QG9saXZlcmphbWVzYXNzb2NpYXRlcy5hcGxpdHJhay5jb20.gif\"><\/p>\n","protected":false},"excerpt":{"rendered":"<p>A major global alternatives platform spanning private equity, credit, real assets, and insurance. This is a highly visible role responsible for ensuring the organization maintains compliance with state insurance regulations while partnering with business leaders, Legal, Compliance, Finance, and Operations to support a strong regulatory framework.<\/p>\n<p data-start=\"570\" data-end=\"827\">This opportunity is ideal for someone with a deep understanding of producer licensing, surplus lines regulations, premium tax requirements, and multi-state insurance compliance who is looking to play a strategic role within a complex insurance organization.<\/p>\n<h2 data-section-id=\"18w7bso\" data-start=\"829\" data-end=\"852\">Key Responsibilities<\/h2>\n<ul data-start=\"854\" data-end=\"1897\">\n<li data-section-id=\"qe9wsf\" data-start=\"854\" data-end=\"950\">Oversee surplus lines licensing compliance and regulatory requirements across multiple states.<\/li>\n<li data-section-id=\"1hib71d\" data-start=\"951\" data-end=\"1089\">Execute and maintain Designated Responsible Licensed Producer (DRLP) filings, regulatory attestations, and related licensing activities.<\/li>\n<li data-section-id=\"tyy0b8\" data-start=\"1090\" data-end=\"1206\">Monitor producer and agency licensing requirements, ensuring ongoing compliance with applicable state regulations.<\/li>\n<li data-section-id=\"zlxeru\" data-start=\"1207\" data-end=\"1348\">Oversee premium tax reporting obligations, filing deadlines, affidavits, broker responsible forms, and related surplus lines documentation.<\/li>\n<li data-section-id=\"m7m0a5\" data-start=\"1349\" data-end=\"1463\">Coordinate state insurance department filings and maintain compliance through NIPR and other regulatory systems.<\/li>\n<li data-section-id=\"1arjj2b\" data-start=\"1464\" data-end=\"1595\">Partner with Legal, Compliance, Finance, and business leaders to interpret regulatory changes and implement appropriate controls.<\/li>\n<li data-section-id=\"11obox7\" data-start=\"1596\" data-end=\"1686\">Support internal audits, regulatory examinations, and Department of Insurance inquiries.<\/li>\n<li data-section-id=\"e7n68t\" data-start=\"1687\" data-end=\"1791\">Monitor changes in state surplus lines regulations and assess operational impacts across the business.<\/li>\n<li data-section-id=\"1vekn0e\" data-start=\"1792\" data-end=\"1897\">Contribute to governance initiatives, compliance reporting, and continuous process improvement efforts.<\/li>\n<\/ul>\n<h2 data-section-id=\"1fm6vrb\" data-start=\"1899\" data-end=\"1916\">Qualifications<\/h2>\n<ul data-start=\"1918\" data-end=\"2772\">\n<li data-section-id=\"1xft5xd\" data-start=\"1918\" data-end=\"1983\"><strong data-start=\"1920\" data-end=\"1983\">Active Property & Casualty (P&C) Producer License required.<\/strong><\/li>\n<li data-section-id=\"1mto8zd\" data-start=\"1984\" data-end=\"2047\"><strong data-start=\"1986\" data-end=\"2047\">Active Surplus Lines (Excess & Surplus) License required.<\/strong><\/li>\n<li data-section-id=\"kofsn1\" data-start=\"2048\" data-end=\"2117\"><strong data-start=\"2050\" data-end=\"2117\">Active Life, Accident & Health (A&H) Producer License required.<\/strong><\/li>\n<li data-section-id=\"z5h58x\" data-start=\"2118\" data-end=\"2302\">Experience serving as a Designated Responsible Licensed Producer (DRLP) or supporting DRLP filings, regulatory attestations, or similar licensing responsibilities strongly preferred.<\/li>\n<li data-section-id=\"1pdgef1\" data-start=\"2303\" data-end=\"2558\">Strong working knowledge of:\n<ul data-start=\"2336\" data-end=\"2558\">\n<li data-section-id=\"yeyeib\" data-start=\"2336\" data-end=\"2382\">Multi-state insurance licensing requirements<\/li>\n<li data-section-id=\"1ori458\" data-start=\"2385\" data-end=\"2412\">Surplus lines regulations<\/li>\n<li data-section-id=\"16lsfj5\" data-start=\"2415\" data-end=\"2453\">Premium tax reporting and remittance<\/li>\n<li data-section-id=\"1euib4o\" data-start=\"2456\" data-end=\"2513\">NIPR and state Department of Insurance filing processes<\/li>\n<li data-section-id=\"10a8hun\" data-start=\"2516\" data-end=\"2558\">Producer and agency licensing compliance<\/li>\n<\/ul>\n<\/li>\n<li data-section-id=\"3772xi\" data-start=\"2559\" data-end=\"2639\">Experience supporting regulatory examinations, audits, and compliance reviews.<\/li>\n<li data-section-id=\"eyeo8d\" data-start=\"2640\" data-end=\"2772\">Excellent organizational, analytical, and communication skills with the ability to collaborate across multiple business functions.<\/li>\n<\/ul>\n<h2 data-section-id=\"l365vy\" data-start=\"2774\" data-end=\"2797\">Preferred Background<\/h2>\n<p data-start=\"2799\" data-end=\"3237\">Candidates may come from insurance carriers, wholesalers, MGAs, retail brokerages, or agency compliance organizations with experience in producer licensing, agency licensing, surplus lines compliance, regulatory affairs, or insurance operations. As the business continues to scale, there is a need to formalize and strengthen the end-to-end operational risk and controls environment across global Operations. This role will sit at the center of that effort, partnering directly with senior leadership to build structure, consistency, and governance across the enterprise.<\/p>\n<h3>Role Overview <\/h3>\n<p>The Senior Manager \/ Director will be responsible for building and maturing the operational risk and controls framework across core insurance operations, including underwriting, claims, ceded reinsurance, actuarial, finance, regulatory reporting, and supporting technology functions.<\/p>\n<p> This individual will serve as a key architect of process and control design, helping define how work is performed, controlled, measured, and governed across the organization. Unlike traditional audit or compliance roles, this position is focused on building frameworks rather than only assessing them.<\/p>\n<h3>Key Responsibilities<\/h3>\n<ul>\n<li>Design and implement a global operational risk and controls framework, including RCSAs, KRIs, governance routines, and issue management processes<\/li>\n<li>Partner with functional leaders to map end-to-end business processes and embed appropriate controls within operating workflows<\/li>\n<li>Develop standardized methodologies, templates, and documentation frameworks for process design and control execution<\/li>\n<li>Drive current-state assessments and future-state operating model design across multiple insurance functions<\/li>\n<li>Identify opportunities for process optimization, automation, and operational efficiency improvements<\/li>\n<li>Establish reporting routines and control effectiveness monitoring for senior leadership<\/li>\n<li>Serve as the primary Operations liaison for internal audit, external audit, and regulatory reviews<\/li>\n<li>Track audit findings and lead remediation efforts through to resolution and root cause analysis<\/li>\n<li>Ensure alignment with regulatory and rating agency expectations across relevant jurisdictions<\/li>\n<li>Partner with risk, compliance, and internal audit functions to ensure a cohesive three-lines-of-defense model<\/li>\n<\/ul>\n<h3>Ideal Candidate Profile<\/h3>\n<ul>\n<li>8+ years of experience in operational risk, internal audit, risk advisory, controls, or process improvement<\/li>\n<li>Background in insurance (P&C, specialty, E&S, MGA, or reinsurance preferred)<\/li>\n<li>Experience with Big 4 advisory\/audit firms or carrier-side operational risk\/control functions highly desirable<\/li>\n<li>Demonstrated experience building or significantly enhancing a risk and controls framework (not just operating within one)<\/li>\n<li>Strong process mapping, controls design, and governance experience<\/li>\n<li>Experience working with or presenting to senior leadership (COO-level exposure preferred)<\/li>\n<li>Strong understanding of operational insurance processes such as underwriting, claims, and reinsurance<\/li>\n<li>Ability to operate in a fast-paced, build-phase environment with ambiguity and evolving structure<\/li>\n<\/ul>\n<h3>Why This Role?<\/h3>\n<ul>\n<li>Opportunity to build a global risk and controls framework from the ground up<\/li>\n<li>High visibility role partnering directly with executive leadership<\/li>\n<li>Broad exposure across all major insurance operational functions<\/li>\n<li>Significant influence on how the organization scales its operating model<\/li>\n<li>Ideal for individuals looking to move beyond traditional audit or advisory roles into a more strategic, embedded operational leadership position<\/li>\n<\/ul>\n<p>If you are interested in building something foundational within a growing insurance organization and have experience in operational risk, controls, or insurance process environments, we would welcome a conversation.<\/p>\n<p> Please note that due to client requirements for this role, we are only able to consider candidates who are U.S. citizens or current Green Card holders.
