Position Summary
Provide support to the Head of Corporate Governance with corporate secretarial activities and governance administration for subsidiary boards and committees. Ensure governance processes are administered in line with applicable legal and regulatory requirements, governance best practices, and internal policies.
Main Responsibilities
- Act as Company Secretary and provide day-to-day support for unregulated subsidiary entities, working closely with the Senior Corporate Governance Professional
- Organise board and committee meetings where required, including:
- Drafting meeting agendas
- Liaising with management regarding agenda items and meeting papers
- Collating, formatting, and distributing board materials
- Tracking and updating action items
- Draft and circulate written resolutions for board and committee approvals and assist with document execution
- Prepare board and committee memos and governance documentation as required
- Maintain accurate and up-to-date legal entity registers and governance records, including board training plans and policy schedules
- Ensure governance management systems and records are maintained and updated
- Maintain legal documentation including authorised signatory lists and powers of attorney
- Assist in establishing and maintaining governance policies, procedures, and controls
- Respond to ad hoc queries and requests for information from business stakeholders, board members, auditors, and other internal or external parties
- Support internal audits and regulatory inspections through the provision of relevant documentation
- Collaborate with other governance professionals and assistants to provide team support where required
- Support additional projects and governance-related activities as requested by senior management
Qualifications and Experience Required
- Degree qualified with a strong academic background
- Co-sec qualification from Chartered Governance Institute UK & Ireland
- Minimum 2-3 years’ company secretarial or corporate governance experience preferred
- Experience within financial services or a regulated environment preferred
- Strong interpersonal skills with the ability to build effective working relationships across all levels of an organisation, including senior management and external stakeholders
- Experience using governance and entity management systems preferred
- Ability to exercise discretion and maintain confidentiality
- Strong organisational skills with excellent attention to detail and accuracy
- Ability to prioritise effectively and work calmly under pressure
- Strong analytical and research skills
- Excellent written and verbal communication skills
- Reliable, self-motivated, and adaptable
- Proficient in Microsoft Outlook, Excel, Word, and PowerPoint
