Senior Counsel – Private Equity
Overview:
A senior legal counsel role within an investment-focused legal team supporting a diversified institutional investor. The team works across private market asset classes including private equity, real estate equity, private credit, venture capital, high-yield credit, derivatives, securitizations, and related transactions.
This role involves providing legal and regulatory guidance on investment activities, ensuring compliance with applicable laws, and advising on risk in both existing and proposed transactions.
Key Responsibilities:
- Provide legal support for private market investment activities, including:
- Private equity fund investments and co-investments
- Private debt and credit investments
- Real estate and alternative asset transactions
- Review, negotiate, and manage investment documentation such as:
- Subscription agreements
- Side letters
- Fund agreements
- Note purchase agreements
- Amendments, waivers, and restructuring documents
- Coordinate with and oversee external legal counsel
- Advise internal investment and business teams on legal and regulatory risk
- Support transaction execution, closings, and ongoing portfolio matters
- Conduct legal research across corporate, securities, insurance, tax, and investment-related regulations
- Develop internal policies and provide training on legal and compliance matters
- Identify and mitigate emerging legal and regulatory risks
- Collaborate with investment professionals and senior stakeholders across the organization
Qualifications:
Required:
- Juris Doctor
- 5+ years of relevant legal experience
- Background in law firm or in-house transactional legal work
- Experience in private investments, corporate transactions, or fund-related work
- Familiarity with private equity, securities law, M&A, venture capital, or similar areas
Preferred:
- Experience representing sponsors or investors in private funds or co-investments
- Knowledge of financial regulatory frameworks (e.g. securities, insurance-related investments)
- Strong negotiation, communication, and stakeholder management skills
- Ability to balance legal risk with business objectives in fast-moving environments
