NEW Job Opportunity: M&A & Corporate Counsel – P&C Insurance
We are representing a confidential organization within the Property & Casualty insurance sector seeking an experienced M&A & Corporate Counsel to support ongoing strategic growth initiatives, reporting to the General Counsel. This role reports into senior legal leadership and sits within an in-house legal team supporting corporate, transactional, and commercial matters across the business.
The position is well suited for a legal professional with deep P&C insurance corporate experience and direct insurance-specific M&A exposure. This role is not applicable to candidates whose transactional experience is limited to non-insurance industries.
Role & Responsibilities:

Provide transactional and corporate legal support on insurance-focused M&A activity, including acquisitions, divestitures, and related strategic transactions.

Serve as lead or primary drafter and negotiator on transaction documents, including purchase agreements, letters of intent, term sheets, and ancillary documentation.

Support insurance-specific legal due diligence, including review of regulatory, operational, and commercial materials, as well as closing and post-closing matters.

Partner with internal stakeholders to identify and assess legal and business risk and provide practical, solutions-oriented guidance.

Draft and negotiate a range of corporate and commercial agreements relevant to the insurance business, including confidentiality agreements, vendor contracts, and strategic partnership arrangements.

Provide ongoing legal support related to corporate governance, finance, and insurance operations.

Ensure consistency and quality of legal advice across transactional and corporate matters.
Required Qualifications (Non-Negotiable):

Juris Doctor from an accredited law school and active U.S. bar admission.

Demonstrated corporate legal experience within the P&C insurance industry.

Direct experience handling M&A transactions in the insurance sector (insurance-specific M&A required).

Experience drafting and negotiating definitive transaction documents in an insurance context.

Ability to operate effectively in a fast-paced, transaction-driven environment.

Strong judgment, drafting skills, and ability to balance legal risk with business objectives.
Note: Candidates with M&A experience exclusively outside of the insurance industry will not be considered.
Job Specifications:

Compensation: $225k-$250k base salary plus bonus eligibility (final compensation dependent on experience, location, and qualifications).
