Insurance Counsel – M&A and Corporate

NEW Job Opportunity: M&A & Corporate Counsel – P&C Insurance

We are representing a confidential organization within the Property & Casualty insurance sector seeking an experienced M&A & Corporate Counsel to support ongoing strategic growth initiatives, reporting to the General Counsel. This role reports into senior legal leadership and sits within an in-house legal team supporting corporate, transactional, and commercial matters across the business.

The position is well suited for a legal professional with deep P&C insurance corporate experience and direct insurance-specific M&A exposure. This role is not applicable to candidates whose transactional experience is limited to non-insurance industries.


Role & Responsibilities:

  • Provide transactional and corporate legal support on insurance-focused M&A activity, including acquisitions, divestitures, and related strategic transactions.

  • Serve as lead or primary drafter and negotiator on transaction documents, including purchase agreements, letters of intent, term sheets, and ancillary documentation.

  • Support insurance-specific legal due diligence, including review of regulatory, operational, and commercial materials, as well as closing and post-closing matters.

  • Partner with internal stakeholders to identify and assess legal and business risk and provide practical, solutions-oriented guidance.

  • Draft and negotiate a range of corporate and commercial agreements relevant to the insurance business, including confidentiality agreements, vendor contracts, and strategic partnership arrangements.

  • Provide ongoing legal support related to corporate governance, finance, and insurance operations.

  • Ensure consistency and quality of legal advice across transactional and corporate matters.


Required Qualifications (Non-Negotiable):

  • Juris Doctor from an accredited law school and active U.S. bar admission.

  • Demonstrated corporate legal experience within the P&C insurance industry.

  • Direct experience handling M&A transactions in the insurance sector (insurance-specific M&A required).

  • Experience drafting and negotiating definitive transaction documents in an insurance context.

  • Ability to operate effectively in a fast-paced, transaction-driven environment.

  • Strong judgment, drafting skills, and ability to balance legal risk with business objectives.

Note: Candidates with M&A experience exclusively outside of the insurance industry will not be considered.


Job Specifications:

  • Compensation: $225k-$250k base salary plus bonus eligibility (final compensation dependent on experience, location, and qualifications).
