Core responsibilities include:
- Supporting tax equity, construction, term, and portfolio-level debt financings
- Managing and conducting legal due diligence on project, commercial, real estate, and interconnection documentation
- Identifying key legal risks and advising on mitigation strategies
- Drafting, reviewing, and negotiating term sheets, commitment letters, definitive financing documents, and ancillary agreements (security, guarantees, intercreditor documents)
- Coordinating across internal stakeholders-senior management, investments, development, portfolio management, asset management
- Ensuring transaction alignment with corporate governance requirements
- Preparing internal approval materials and summarizing transaction structures and diligence findings
- Providing practical legal advice on project development issues impacting financial closings
Qualifications:
- J.D. and active bar membership
- Minimum 3+ years in corporate, project finance, or complex transactional work
- Experience with renewable energy financings (IPP or developer-side preferred)
- Familiarity with tax equity and/or debt financing structures in energy/infrastructure
- Strong drafting, analytical, and organizational skills
- Ability to manage multiple fast-moving matters within a multidisciplinary deal environment
