Project Finance Attorney – Renewable Energy

Core responsibilities include:

  • Supporting tax equity, construction, term, and portfolio-level debt financings
  • Managing and conducting legal due diligence on project, commercial, real estate, and interconnection documentation
  • Identifying key legal risks and advising on mitigation strategies
  • Drafting, reviewing, and negotiating term sheets, commitment letters, definitive financing documents, and ancillary agreements (security, guarantees, intercreditor documents)
  • Coordinating across internal stakeholders-senior management, investments, development, portfolio management, asset management
  • Ensuring transaction alignment with corporate governance requirements
  • Preparing internal approval materials and summarizing transaction structures and diligence findings
  • Providing practical legal advice on project development issues impacting financial closings

Qualifications:

  • J.D. and active bar membership
  • Minimum 3+ years in corporate, project finance, or complex transactional work
  • Experience with renewable energy financings (IPP or developer-side preferred)
  • Familiarity with tax equity and/or debt financing structures in energy/infrastructure
  • Strong drafting, analytical, and organizational skills
  • Ability to manage multiple fast-moving matters within a multidisciplinary deal environment
