M&A & Corporate Counsel

Overview

An insurance company is seeking an M&A and corporate attorney to support its corporate transactions and general commercial work. This role will work closely with senior leaders on strategic initiatives and day-to-day legal matters.

Key Responsibilities

• Provide legal support on business transactions and related projects.
• Draft, review, and negotiate a variety of agreements.
• Conduct and coordinate due diligence activities.
• Collaborate with internal teams to align legal documents with business objectives.
• Assist with corporate governance and general legal matters as needed.
• Identify risks, offer practical solutions, and support ongoing operational needs.

Requirements

• 6-12+ years of experience in corporate/transactional law

• Direct M&A experience specifically involving P&C insurance (required – not considering candidates without this)

• Demonstrated deal lead experience: drafting, negotiating, and managing transactions

• Background in BigLaw or a strong boutique with meaningful M&A exposure

• Experience with commercial contracts and general corporate work

Qualifications

• Licensed and admitted to a U.S. state bar (active and in good standing)

• Authorized to work in the USA

• Salary: ~$225,000-$250,000 + bonus + benefits
