AVP – Investment Counsel [NY, DC, CHI]

Our client is seeking an experienced attorney to join its in-house legal team supporting an active institutional investment platform. This role serves as a trusted legal advisor to the investment business, partnering with stakeholders across investments, legal, compliance, finance, and risk on a broad range of transactional, governance, and strategic matters.

Key Responsibilities

  • Provide legal support for a diverse portfolio of institutional and alternative investment activities, including private fund investments and other strategic investment transactions.

  • Structure, review, and negotiate fund documentation, investment management arrangements, negotiated investor terms, and other transaction-related agreements.

  • Advise investment professionals throughout the full investment process, from diligence and execution through ongoing portfolio oversight and relationship management.

  • Counsel business teams on legal, regulatory, governance, and operational considerations impacting investment activities.

  • Support entity management, board governance, organizational documentation, and other general corporate legal matters.

  • Work closely with internal business partners to deliver practical, commercially focused legal advice that facilitates investment activity while appropriately managing legal and regulatory risk.

Qualifications

  • J.D. with an active U.S. bar admission.

  • Approximately 5+ years of relevant transactional legal experience.

  • IDEALLY: Values someone with familiarity in the insurance industry
  • Experience within an institutional investment organization, asset manager, insurance investment group, financial institution, or a law firm with a strong investment funds/private equity/asset management practice.

  • Strong drafting, negotiation, and stakeholder management skills, with the ability to operate independently in a fast-paced business environment.
