Assistant General Counsel
Location: Austin, TX
The Opportunity
A growing financial services firm is seeking an Assistant General Counsel to support its private fund and investment management business.
This is a hands-on role focused primarily on private fund formation, private placements, securities law and regulatory matters. The attorney will work closely with business, operations and compliance teams throughout the fund lifecycle.
Key Responsibilities
- Lead and support private fund formations and launches
- Draft and negotiate PPMs, LPAs, subscription agreements and investor documents
- Advise on private placements, capital raising, side letters and co-investments
- Support ongoing fund operations and transactions
- Advise on the Investment Advisers Act of 1940 and other U.S. securities laws
Ideal Background
- 4-8 years of legal experience
- Experience at a private equity firm, hedge fund, asset manager, fund administrator or leading law firm
- Strong private fund formation and offering document experience
- Hands-on experience with PPMs, LPAs and subscription agreements
- Strong knowledge of the Investment Advisers Act and U.S. securities laws
