Corporate Governance Paralegal
Locations: Des Moines
Role
Support corporate governance and company secretarial activities for a global financial services and insurance business across the US and Bermuda. Work closely with Legal, Compliance, senior executives, boards and international governance teams to ensure strong governance, regulatory compliance and effective corporate administration.
Key Responsibilities

Coordinate board and committee meetings, agendas, papers and minutes.

Manage governance calendars, corporate actions and statutory deadlines.

Prepare resolutions, signing authorities, powers of attorney and director appointments.

Maintain corporate records, governance frameworks, playbooks and entity documentation.

Support legal entity management and incorporation documentation.

Coordinate governance-related regulatory filings and board approvals.

Track regulatory requirements and commitments.

Manage board portal systems, document repositories and third-party providers.

Support audits and ad hoc governance projects across multiple jurisdictions.
Experience & Qualifications

4+ years’ corporate governance or company secretarial experience.

Background in financial services, insurance or asset management preferred.

Strong understanding of board governance, corporate formalities and regulatory requirements.

Experience supporting multiple boards and committees.

Compensation

140,000 base salary
