Associate General Counsel, Insurance & Commercial Transactions [NYC – Hybrid]

The Associate General Counsel will provide legal support for insurance-related managing general agent (“MGA”) operations, as well as broader corporate and strategic initiatives within a diversified insurance services organization. Reporting to the General Counsel, this role offers exposure to a high-growth, M&A-driven insurance platform. The position requires deep insurance industry experience, strong commercial judgment, and the ability to serve as a trusted advisor to senior business leaders in a fast-paced environment.

Essential Duties & Responsibilities

  • Serve as a senior legal advisor supporting MGA insurance operations
  • Draft, review, and negotiate a full range of MGA and program-related agreements, including:
    • Program / binding authority agreements
    • Carrier and reinsurance arrangements
    • Fronting agreements
    • Producer and sub-producer agreements
    • MGA / general agent appointment agreements
    • Claims handling and third-party administrator agreements
    • Commission and profit-sharing arrangements
  • Manage insurance regulatory compliance matters, including:
    • Producer and agency licensing
    • Surplus lines compliance
    • Third-party administrator registrations and filings
    • State insurance department filings and reporting obligations
    • Regulatory inquiries and examinations
    • Negotiate commercial and technology agreements, including SaaS, IT services, data licensing, data protection agreements, and vendor contracts
    • Monitor insurance regulatory and legislative developments impacting MGA and distribution businesses and communicate implications to stakeholders
    • Support legal due diligence in connection with mergers, acquisitions, and strategic transactions

Qualifications

  • J.D. degree and admitted to a U.S. Bar.
  • 8+ years of experience with prior experience at an MGA, insurance carrier or reinsurer preferred
  • Deep experience drafting and negotiating insurance program, distribution, and service agreements and related technology and vendor contracts.
  • Strong understanding of insurance regulatory frameworks, including producer licensing, surplus lines requirements, TPA obligations, state department of insurance processes, regulatory filings, and privacy and cybersecurity obligations.
  • Excellent drafting, negotiation, communication, analytical, organizational, and project management skills,

Compensation

  • $225K – $250K
  • Bonus eligibility
