Associate General Counsel, P&C Insurance & Commercial Transactions (MGA)
Our client, a rapidly growing insurance services organization, is seeking an experienced insurance attorney to serve as the sole attorney handling the MGA platform and broader P&C insurance legal function, Associate General Counsel in title, but a major partner in action. Reporting to the General Counsel, this is a highly visible, business-facing role providing legal guidance across MGA operations, commercial transactions, insurance regulatory matters, licensing, and strategic acquisitions. The position offers the opportunity to work directly with executive leadership and business unit leaders across a fast-paced, acquisitive insurance platform.
Essential Duties & Responsibilities
- Serve as the primary legal advisor supporting MGA operations and insurance business leaders.
- Draft, review, and negotiate a broad range of insurance program, distribution, carrier, producer, fronting, reinsurance, TPA, and other commercial agreements.
- Advise on P&C insurance regulatory matters, including producer licensing, agency compliance, surplus lines, TPA registrations, and state insurance department requirements.
- Partner with business leaders on commercial, operational, and strategic legal issues across multiple business units.
- Negotiate technology, SaaS, vendor, data privacy, and other commercial contracts.
- Support legal due diligence and integration efforts for mergers, acquisitions, and other strategic transactions.
- Provide practical legal guidance on corporate governance, risk management, and regulatory developments impacting the business.
- Collaborate closely with executive leadership, Legal, Compliance, and operational teams on enterprise-wide initiatives.
Qualifications
- MUST HAVE: J.D. and active U.S. Bar admission.
- MUST HAVE: 6-14+ years of legal experience, ideally within an MGA, P&C insurance carrier, reinsurer, or insurance services organization.
- MUST HAVE: Property & Casualty insurance experience.
- Experience drafting and negotiating insurance program agreements, commercial contracts, and insurance distribution agreements.
- Strong understanding of insurance regulatory compliance, producer licensing, and state insurance department requirements.
- Experience supporting corporate transactions, acquisitions, and cross-functional business initiatives preferred.
- Business-minded attorney capable of working independently in a fast-paced, high-growth environment with significant client-facing responsibility.
Compensation
- $225K – $250K
