VP of Tax, Private Credit

My client, a top Private Credit firm is looking for a VP of Tax to join there expanding team. this role would operate on a hybrid basis in downtown Chicago, offers competitive compensation, comprehensive health, PTO and retirement benefits.

Key Responsibilities

  • Advise on the tax structuring of private credit investments, including senior and mezzanine loans, preferred equity, structured credit, and distressed or special situations
  • Provide tax support for REIT entities, including qualification testing (asset, income, and distribution requirements), TRS structuring, and prohibited transaction analysis
  • Review and negotiate tax provisions in credit agreements, LPAs, and other transaction documents
  • Evaluate tax implications of loan modifications, workouts, foreclosures, and restructurings (including COD income, significant modification rules, and OID)
  • Oversee tax compliance and reporting for funds and REITs, including Forms 1065, 1120-REIT, K-1s, 1099s, and state filings
  • Manage relationships with outside counsel and accounting firms
  • Partner with investment, legal, finance, and investor relations teams on new fund formations, feeder structures, and blocker analysis
  • Address investor tax matters, including UBTI/ECI, FIRPTA, withholding, and foreign investor considerations
  • Monitor legislative and regulatory developments and communicate their impact to stakeholders
  • Mentor junior team members and contribute to process improvements

Qualifications

Required

  • 8-12 years of relevant tax experience in public accounting (Big 4 or national firm), law firm, or an asset management/financial services in-house tax group
  • Substantial hands-on experience with REITs, including qualification requirements, taxable REIT subsidiaries, dividend and distribution planning, and E&P
  • Strong working knowledge of partnership taxation and debt instrument taxation
  • Prior exposure to private credit, direct lending, real estate debt, or structured finance
  • CPA and/or JD/LLM in Taxation strongly preferred
  • Excellent technical research, analytical, and drafting skills
  • Ability to communicate complex tax concepts clearly to non-tax professionals
