Company Secretary – Board Governance Associate
📍 Dublin | Hybrid (4 days onsite, 1 day remote)
An exciting opportunity has arisen for a Company Secretary / Governance professional to join a leading global investment and financial services organisation based in Dublin.
This role sits within the EMEA Board Governance function and offers the opportunity to work closely with Boards, Committees and senior leadership teams across a highly regulated environment.
The Role
As part of the governance team, you will support the effective operation of various legal entities and committees, ensuring governance standards, regulatory obligations and company secretarial responsibilities are delivered to the highest standard.
You will work cross-functionally with teams including Risk, Compliance, Operations and Investment Management, providing governance support and facilitating effective communication between senior stakeholders and Boards.
Key Responsibilities
- Coordinate and manage Board and Committee meetings, including scheduling and annual calendars
- Prepare, review and distribute meeting agendas and Board materials
- Draft accurate and concise minutes and track follow-up actions
- Maintain statutory records, governance documentation and internal registers
- Review and update governance procedures, terms of reference and delegated authority frameworks
- Support directors and senior stakeholders on governance-related matters
- Assist with regulatory requests, due diligence exercises and AML/KYC activities
- Build strong working relationships with internal stakeholders and external service providers
- Identify opportunities to enhance governance processes and strengthen controls
About You
- Qualified or Part-Qualified Company Secretary preferred
- Previous company secretarial or governance experience within a regulated financial services environment
- Experience supporting Boards and Committees
- Exposure to funds, asset management, management companies or other regulated investment structures would be advantageous
- Strong understanding of corporate governance principles and Board processes
- Excellent written communication and minute-taking skills
- Highly organised with strong attention to detail and the ability to manage competing priorities
- Strong stakeholder management skills with experience engaging with senior executives and directors
- Experience using governance management systems and board portal software would be beneficial
